Kent Sinclair is an experienced attorney, arbitrator,
and a cybersecurity professional with a deep
understanding of legal and technical aspects of
privacy, information protection and cybersecurity. He
earned his law degree from the
Yale Law School and
is a Certified Information Privacy Professional
(CIPP/US) through the
International Association of
Privacy Professionals (IAPP). Kent serves as an
arbitrator on the commercial disputes, large complex
case, and technology panels of the
American
Arbitration Association (AAA).


In 2024 Kent was again recognized as a business
litigation “Super Lawyer” and a “Top Lawyer” for
Arbitration and Mediation by Boston Magazine. Best
Lawyers also recognized Kent as the only solo
practitioner in New England in the Privacy & Data
Security Law category.

Based in the metropolitan-Boston community of Beverly, Sinclair Law LLC provides high-quality, responsive,
and cost-conscious legal counseling as well as representation in a broad range of commercial, employment,
and regulatory disputes, many of which involve technology and intellectual property related issues in business
litigation and commercial arbitration proceedings. The firm assists clients with legal and technical responses to
data security incidents and compliance with privacy and cybersecurity laws. It’s work also includes representing
owners and investors in disputes within closed corporations, partnerships and joint ventures, as well as matters
involving commercial financing, equipment leasing, and other financial service related agreements.


Kent has a deep understanding of digital forensics and cybersecurity, developed through his work as an attorney
and in the non-legal role as Managing Director for the Boston office of a leading global cybersecurity consulting
firm. As a cybersecurity professional Kent provided strategic and technical guidance to companies and their
attorneys on data security and privacy issues. He led technical teams responding to numerous significant data
breaches. He also oversaw engagements involving comprehensive security risk assessments and worked on a
variety of digital forensic investigations in support of lawsuits and internal investigations.


Kent established Sinclair Law LLC in order to meet the growing needs of middle market enterprises and
emerging companies concerning the increasingly critical issues of cybersecurity and privacy, as well as to
address technology and intellectual property related business disputes, by consistently providing high-quality,
responsive, and cost-effective legal services.




Pro Bono

Kent works closely with the Victim Rights Law Center (VRLC) representing victims of sexual assault and rape in civil legal proceedings to obtain restraining orders as well shielding the privacy of victims’ medical, psychological and educational information. The firm’s recent work focuses on establishing digital privacy rights for victims by limiting criminal defendants’ access to victim’s electronic communications, social media and devices. In 2016 Kent received the VRLC Shining Star Award recognizing his exemplary dedication to pro bono representation of the VRLC’s clients.


Kent serves as the global privacy law counsel to an international not-for-profit organization that operates in over 80 countries.


Kent is the former Chair of the Boston Bar Association’s Solo & Small Firm Forum (2020-2023) and the Privacy Law Committee (2014-2016). He continues to serve on the Solo & Small Firm Forum’s Steering Committee.

Litigation – Represents clients in a broad
range of court proceedings and arbitrations
concerning business disputes and
employment matters, many of which
involve technology agreements, post-data
breach business-to-business disputes, theft
of trade secrets, post-employment
restrictions (non-compete and non-
solicitation agreements) and matters
involving unfair business practices and
other business torts. Also represents
owners and investors in disputes within
closed corporations, partnerships and joint

a broad range of litigations and arbitrations
that involve the collection and/or use of
digital forensic evidence.


Litigation

Data Security Incident Response & Breach Management – Oversees the work of technical teams and assess legal impacts of data breaches and other cybersecurity incidents, undertakes post-breach notifications, and addresses legal disputes with consumers, vendors, investors, insurers, business partners, and regulators that grow out of data security incidents.

Policy Development – Develops legally sufficient and organizationally functional privacy and data security policies, addressing the requirements of state and federal laws and regulations, as well as non-U.S. legal regimes, particularly the European Union’s General Data Protection Regulation (GDPR) and the post-Brexit UK GDPR.

Cross-Border Data Transfers – Assists with the development of legal means to share data across international borders, particularly with European Union and the United Kingdom.

Security Risk Assessments – Works with technical experts to determine the most cost effective ways to decrease an organization’s digital risk profile.

Privacy/Cybersecurity Compliance – Analyzes and revises policies, develops training programs, asseses the effectiveness of the compliance regime’s impact on employee conduct, and investigates potential violations of the policies and applicable laws.

Contract Negotiation & Review – Assesses, drafts and negotiates privacy and cybersecurity related provisions, including clauses on limitation of liabilities and indemnification, which are critical components in vendor agreements and other contracts under a range of federal, state and non-U.S. legal regimes.

Cybersecurity/Privacy

In addition to work as an advocate in commercial arbitrations, serves as a neutral through the commercial disputes, large complex case, and technology panels of the American Arbitration Association (AAA). Kent has conducted arbitration hearings as a member of three arbitrator panels and as a single arbitrator in disputes involving technology contracts related to IT professional services and technology consulting, software development, Internet of Things (“IoT”), patent royalties, entertainment website content development, and e-commerce services. Other cases have involved disputes regarding trade secret misappropriation claims under the Uniform Trade Secrets Act, business email compromise/wire fund transfer fraud, investment fund limited partnership agreements, joint venture agreements, attorney contingency fees, equipment leasing, and commercial financing agreements.
